NLB announces bid for takeover of shares of Addiko Bank – Slovenian group wants to acquire majority stake

NLB has announced the bid for the takeover of Addiko Bank. It offers EUR 20 per share, minus all the future dividend payments. The offer is valid concluding with August 16 this year. The Slovenian banking group wants to acquire a majority stake in Addiko Bank, whose headquarters are in Vienna and which is present in countries of Southeast Europe, including Serbia.

The takeover bid and the purchase prospectus, which pertains to all shares of Addiko, have been published on the webpages of the Austrian Takeover Commission and NLB. The management of NLB will present the bid to the interested parties at an online presentation in the afternoon of June 10.

As NLB says in the takeover bid, it wants to acquire at least 75% shares of Addiko Bank. All the takeover procedures are expected to be finalized within a year.

Addiko Bank, headquartered in Vienna, was formed from the Eastern European section of the former Hypo Alpe Adria Bank. It is present in Slovenia, Croatia, Bosnia and Herzegovina, Serbia and Montenegro. It specializes in working with retail clients and small enterprises.

The shares of Addiko Bank are listed on the Vienna Stock Exchange. Among its majority owners are Agri Europe, DDM Invest III, Alta Pay Group, Wellington Management Group, EBRD, Dr. Jelitzka + Partner Gesellschaft für Immobilienberatung und verwertungWinegg Realitäten, Winegg Realitäten and others.

Agri Europe and Alta Pay Group were also interested in the bank.
